Is Stifel a Fiduciary? Advisory, Brokerage, and Retirement Rules

Whether Stifel is a fiduciary depends on the account you hold. Stifel, Nicolaus & Company is registered as both a broker-dealer and an investment adviser, so the firm owes you a fiduciary duty when you have an investment advisory account with it, and follows the lower Regulation Best Interest standard when you have a standard brokerage account. The label on your account, not the name on the door, decides which rules protect you.

How to Tell Which Type of Account You Have

Start with Stifel’s Client Relationship Summary, or Form CRS. Because Stifel is a dual registrant, its Form CRS runs up to four pages rather than the usual two, and it spells out the firm’s legal obligations under each side of the business.1Securities and Exchange Commission. For more detail, pull the ADV Part 2A brochure for the specific advisory program your account is enrolled in. It lists the fees, the conflicts, and the scope of the firm’s fiduciary responsibility for that program.2Stifel. Investment Advisory Program Disclosures Your account opening agreement is the other place to look. Language like “investment advisory services” or “discretionary management” points to fiduciary status; an agreement that references only brokerage services means Reg BI applies.

If you’re still unsure, ask your Stifel advisor directly and get the answer in writing. The distinction changes your legal rights, so verify rather than assume.

What Fiduciary Duty Means in a Stifel Advisory Account

Advisory accounts fall under the Investment Advisers Act of 1940, which the SEC has interpreted as imposing a federal fiduciary duty with two parts: a duty of care and a duty of loyalty.3Federal Register. Commission Interpretation Regarding Standard of Conduct for Investment Advisers The duty of care means advice has to fit your financial situation, goals, and risk tolerance, and the account has to be monitored over time. The duty of loyalty means the firm has to put your interests first and either avoid material conflicts or disclose them fully so you can consent with your eyes open.

The duty is continuous. It lasts for the life of the advisory agreement, not just at the moment of a recommendation.

Advisory accounts are fee-based. Stifel charges an annual percentage of assets under management, and rates vary by program. The Stifel Summit Program, for example, charges up to 1.00% annually, though the rate is typically negotiable with your advisor.4Stifel. If a Stifel advisor breaches the duty, remedies can be pursued through FINRA arbitration or, in some circumstances, civil litigation. Possible outcomes include repayment of advisory fees, compensatory damages, and professional sanctions.

What Regulation Best Interest Means in a Stifel Brokerage Account

Standard brokerage accounts are regulated under the Securities Exchange Act of 1934, and the applicable standard is Regulation Best Interest.5eCFR. 17 CFR 240.15l-1 Regulation Best Interest Reg BI imposes four obligations on a broker when making a recommendation to a retail customer: disclosure, care, conflict of interest, and compliance.6Securities and Exchange Commission. Regulation Best Interest The SEC has stated that Reg BI does not make a broker a fiduciary in the legal sense, even though it requires acting in the customer’s best interest during a recommendation.

The practical differences from fiduciary duty are worth knowing:

  • Reg BI applies at the moment a recommendation is made. Fiduciary duty is ongoing and includes monitoring your account.
  • Reg BI requires disclosing conflicts and having policies to address them. A fiduciary has to eliminate material conflicts or get your informed consent after full disclosure.
  • Brokerage clients pay through commissions or markups on individual transactions, which creates an incentive to recommend more frequent trading. Reg BI curbs the worst abuses but doesn’t remove the structural conflict.

If you trade infrequently, a brokerage account can be cheaper overall because you only pay when something happens. The trade-off is fewer legal protections and no ongoing duty to keep your portfolio aligned with your goals as your circumstances change.

Retirement Accounts Sit in a Gap

IRAs and 401(k) rollovers don’t automatically get fiduciary treatment. The Department of Labor’s 2024 Retirement Security Rule tried to expand fiduciary protections for retirement investment advice, but the rule was vacated in court and the DOL withdrew its defense in late 2025.7PLANADVISER. The governing standard reverts to a 1975 regulation known as the five-part test. A person giving retirement investment advice is a fiduciary only if all five conditions are met: the advice concerns securities or property values, it is given on a regular basis, under a mutual agreement, serves as a primary basis for investment decisions, and is individualized to the account’s needs.8U.S. Department of Labor. What this means for a Stifel client: if your retirement relationship is advisory, fee-based, and ongoing, the Investment Advisers Act fiduciary duty applies. If a Stifel broker gives you a one-time recommendation to roll a 401(k) into an IRA, the “regular basis” prong of the five-part test may not be satisfied, so that recommendation may not carry fiduciary duty at all. Conflicts That Survive Even Under Fiduciary Duty

Cash sweep is a notable one. Uninvested cash in your account is automatically swept into deposits at Stifel’s affiliated bank. The disclosed rate on the insured bank deposit program starts at 0.01% APY for balances under $250,000.9Stifel. Stifel Insured Bank Deposit Programs Rate Tiers Stifel Bank earns a higher return by lending or investing those deposits, and the spread is revenue for the firm. If your account carries significant cash, that gap can meaningfully reduce your returns.

Other disclosed conflicts include markups and markdowns on fixed-income securities, where Stifel may sell you bonds from its own inventory at a price above what it paid, and revenue-sharing arrangements with mutual fund companies on the firm’s platform. Fiduciary duty requires disclosure, but disclosure alone doesn’t remove the financial incentive. Reading the brochure is on you.

If You Think the Standard Was Breached

If a Stifel advisor failed to meet the applicable standard, whether fiduciary or Reg BI, the usual path to resolution is FINRA arbitration. Most brokerage and advisory account agreements at Stifel contain predispute arbitration clauses, and by signing you agree to resolve disputes through FINRA rather than in court, giving up the right to a jury trial.10FINRA. You can also file a complaint directly with the SEC or your state securities regulator. These agencies investigate and can bring enforcement actions, but they don’t award individual compensation. For a clear fiduciary breach in an advisory account, talking to a securities attorney before filing helps you weigh the strength of the claim and the right forum.
