Merrill Lynch is a fiduciary when it manages your money through one of its investment advisory programs, and it is not a fiduciary when you use a standard brokerage account. The firm’s legal name, Merrill Lynch, Pierce, Fenner & Smith Incorporated, is registered with the SEC as both a broker-dealer and an investment adviser, which makes it a “dual registrant.”1Merrill Lynch. Why the Same Firm Owes Two Different Duties
The broker-dealer registration lets Merrill Lynch execute trades and make recommendations transaction by transaction. The investment adviser registration lets it manage portfolios and provide financial planning for an ongoing fee. Each registration carries its own legal standard of care, and the firm can move between the two depending on what it’s doing for you at that moment.
You could sit across from the same financial professional and receive two different levels of legal protection in the same meeting. Merrill Lynch’s Form CRS states that when you enroll in one of its investment advisory programs, the firm acts as your investment adviser and provides “fiduciary services.”1Merrill Lynch. What Fiduciary Duty Means in an Advisory Account
Inside an investment advisory program, Merrill Lynch operates under the Investment Advisers Act of 1940 and owes you a fiduciary duty made up of two parts: a duty of care and a duty of loyalty.2Office of the Law Revision Counsel. 15 USC Chapter 2D, Subchapter II – Investment Advisers
The duty of care requires the firm to provide advice that is in your best interest and to seek best execution on your trades. Best execution is not just the lowest commission; it takes in the total cost and quality of the transaction, including execution speed, the broker-dealer’s reliability, and the value of any research provided.3Securities and Exchange Commission. Compliance Issues Related to Best Execution by Investment Advisers The firm must periodically review the broker-dealers it uses to make sure clients continue to get favorable terms.
The duty of loyalty requires the firm to put your financial interests ahead of its own. If a conflict exists — for example, if recommending a particular fund generates extra revenue for Merrill Lynch — the firm must either eliminate the conflict or fully disclose it. The fiduciary obligation is ongoing. As long as the advisory relationship exists, the firm has a continuing duty to monitor your portfolio and update its recommendations as your circumstances change. Advisory accounts are usually priced as a percentage of assets under management rather than by trade. At Merrill Lynch, the maximum advisory fee when working with an adviser is 1.75 percent of assets, and an additional manager fee of up to 0.65 percent may apply depending on the strategy.4Merrill Lynch. What You Get in a Brokerage Account Instead
When Merrill Lynch acts as a broker-dealer, it does not owe you a fiduciary duty. It must instead comply with Regulation Best Interest, which took effect in June 2020.5eCFR. 17 CFR 240.15l-1 – Regulation Best Interest Reg BI sits above the older “suitability” standard but stops short of a fiduciary duty.
Under Reg BI, the firm must disclose in writing that it is acting as a broker-dealer, along with the material fees and any conflicts of interest tied to the recommendation. It must use reasonable diligence to understand the risks, rewards, and costs of a recommended product and have a reasonable basis to believe the recommendation is in your best interest based on your investment profile. It must also keep written policies to identify and address conflicts, and mitigate any that create an incentive for the firm to put its interest ahead of yours.5eCFR. 17 CFR 240.15l-1 – Regulation Best Interest
The practical difference matters. Reg BI applies only at the moment a recommendation is made. Once the transaction is complete, the broker-dealer has no ongoing obligation to monitor your account or update its advice unless it has separately agreed to do so.6Securities and Exchange Commission. Retirement Accounts and Rollovers
Retirement money adds a layer. When an employer-sponsored plan like a 401(k) is involved, the Employee Retirement Income Security Act applies. ERISA treats anyone who exercises discretionary authority over plan assets or provides investment advice for a fee as a fiduciary, and requires them to act with the care, skill, prudence, and diligence of a prudent person familiar with such matters.7U.S. Department of Labor. Rollover recommendations — moving 401(k) assets into an IRA — are among the highest-stakes moments. In 2024, the Department of Labor finalized a Retirement Security Rule that would have required advisers making rollover recommendations to meet fiduciary standards, including giving prudent and loyal advice, avoiding misleading statements, and charging only reasonable fees.10U.S. Department of Labor. Retirement Security Rule and Amendments to Class Prohibited Transaction Exemptions for Investment Advice Fiduciaries Federal courts in Texas stayed the rule before it took effect, and it remains blocked as of early 2026. Without that rule in force, a rollover recommendation from Merrill Lynch is governed by the Investment Advisers Act fiduciary duty if it comes through an advisory account, and by Reg BI if it comes through a brokerage account.
How the Role Can Switch Mid-Conversation
Because Merrill Lynch is dually registered, your financial professional may move between advisory and brokerage roles depending on the service. The SEC requires broker-dealers to disclose the capacity in which they are acting before or at the time of any recommendation, and for dual registrants the general Form CRS alone is not enough; the firm must specifically tell you whether a particular recommendation is being made in a broker-dealer or advisory capacity.11Securities and Exchange Commission. A firm may satisfy this by setting a default. It might, for example, disclose that all recommendations are made in a broker-dealer capacity unless expressly stated otherwise at the time.11Securities and Exchange Commission. Regulation Best Interest – The Broker-Dealer Standard of Conduct So the shift from fiduciary to non-fiduciary can happen inside a single meeting when your adviser moves from managing your advisory portfolio to pitching a product in your brokerage account. Pay attention to those disclosures, especially if you hold both account types. Certain events also trigger a fresh delivery of the firm’s Form CRS: opening a new type of account, receiving a rollover recommendation, or being offered a new investment advisory service.12eCFR. 17 CFR 275.204-5 – Delivery of Form CRS Each one signals a possible change in the standard of care.
How to Check Which Standard Covers Your Account
Start with the Form CRS. Then read your Client Relationship Agreement or Account Opening Agreement. That contract is the binding foundation of the relationship and specifies whether the firm’s duty is ongoing (advisory) or limited to specific recommendations (brokerage). The fee structure is another quick tell: an asset-based percentage fee usually points to an advisory relationship with fiduciary protections, while per-transaction commissions point to a brokerage relationship governed by Reg BI.
FINRA’s BrokerCheck adds one more check. A BrokerCheck report includes the individual’s current registrations and licenses and the firms they’ve been associated with.13FINRA.org. About BrokerCheck If the report shows your financial professional is registered as an Investment Adviser Representative, that person can serve in a fiduciary capacity for advisory accounts. If only broker-dealer registration appears, the fiduciary standard is not available through them.
