How to Sell Carbon Credits: Channels, Contracts, and Taxes

To sell carbon credits, you develop a qualifying emissions-reduction or removal project, document it against a registry’s standard, pass an independent audit, issue the credits into a registry account, and then sell them through a broker, an exchange like CBL, or a direct contract with a corporate buyer. Each credit represents one metric ton of carbon dioxide reduced or removed, and prices range from under $10 per ton for older avoidance credits to more than $60 per ton for high-integrity removal projects. The process takes months and carries real upfront costs, so it pays to understand each step before you commit.

Confirm Your Project Can Generate Credits

Credit-generating projects fall into two broad categories: activities that avoid emissions and activities that remove carbon already in the atmosphere. Removal credits increasingly command higher prices from corporate buyers.

Common categories include forestry and land use (reforestation, avoided deforestation, improved forest management), agricultural soil carbon (cover cropping, reduced tillage, rotational grazing), renewable energy that displaces fossil generation, methane capture from landfills or livestock, and technology-based removal such as direct air capture, biochar, and enhanced rock weathering. Technology-based removal credits can reach several hundred dollars per ton because of production costs.

Two quality requirements decide whether any of these will produce sellable credits.

Additionality. You must show the reduction would not have happened without the credit revenue. A forest that was already legally protected does not qualify, because the protection would have occurred anyway. This is the single most-scrutinized quality test.

Permanence. The carbon has to stay stored for a guaranteed period. Registries differ: some guarantee as little as 10 years through the end of a crediting period, others require a minimum of 100 years from issuance. Longer commitments generally make credits easier to sell.

Build the Project Design Document and Secure Carbon Rights

Your project’s blueprint is the Project Design Document. Registries like Verra, the Climate Action Reserve, and the American Carbon Registry publish standardized templates so your data follows accepted measurement protocols.1Verra.   • Project boundaries — the geographic area and emission sources included.
  • Baseline emissions — what would happen without the project.
  • Monitoring methodology — how reductions will be measured over time.
  • Leakage assessment — whether the project just shifts emissions elsewhere.

You also need clear legal title to the land or, specifically, to the carbon rights. Deeds or contracts must establish undisputed ownership of the carbon being sequestered. If you lease the land, the lease must explicitly grant you the right to monetize environmental benefits. Budget for a legal review: professional title searches and opinions typically run from a few hundred dollars up to several thousand, depending on complexity and any overlapping mineral or timber rights.

Pass the Audit and Register the Credits

Once documentation is complete, an accredited third-party auditor, called a Validation and Verification Body, reviews everything and conducts site visits to confirm the data.2Verra. The project developer pays the auditor, not the registry.

After passing the audit, you open a registry account. The most widely recognized registries are Verra’s Verified Carbon Standard, the Gold Standard, the American Carbon Registry, and the Climate Action Reserve. Account opening requires corporate registration documents and identification, similar to a bank account application.

Registry fees stack up. Verra’s current schedule illustrates what to expect: a $750 account opening fee, a $750 annual maintenance fee, a $0.23 per-credit issuance levy when credits are approved, and a $0.02 per-credit fee for every transfer, retirement, or cancellation.3Verra. Once the registry approves the verification report, you request formal issuance. Each credit gets a unique serial number and appears in your account, ready for sale.

Set Aside the Buffer Pool Contribution

Carbon stored in forests, soil, and other natural systems can be released back into the atmosphere through wildfire, disease, or land-use change. Registries manage that risk by requiring projects to contribute a portion of every issuance to a shared buffer pool that functions as an insurance reserve.

The percentage depends on a project-specific risk assessment. Under the American Carbon Registry, a Reversal Risk Analysis produces the Buffer Pool Contribution Percentage applied to every issuance.4ACR. Buffer credits are not sold; they are held by the registry and canceled if a reversal is verified. If an unintentional reversal under ACR exceeds your accumulated buffer contributions, you owe an additional deductible equal to 10% of the verified lost credit amount within 90 days.4ACR. Choose a Sales Channel

Brokers

Carbon brokers connect sellers with corporate buyers, providing market intelligence, buyer matching, and deal negotiation. That is valuable if you do not already have relationships with large offsetters. Commissions typically range from about 8% to 20% of transaction value, with higher rates for smaller or harder-to-place projects.

Exchanges

Digital exchanges are more transparent and market-driven. CBL, operated by Xpansiv, is the largest spot marketplace for environmental commodities, working like a stock exchange with a matching engine and automated same-day settlement.5Xpansiv. Direct (Over-the-Counter) Sales

Large deals often happen privately between developers and corporations that want long-term offset supply. Direct negotiation allows customized pricing, delivery schedules, and volume commitments, but you handle contract complexity without a centralized platform. In practice, this channel suits established developers with high-volume projects.

What Buyers Look For

Whatever channel you use, buyers run their own due diligence beyond the registry’s review. Corporate purchasers evaluate technical quality (additionality, permanence, baseline accuracy) alongside “beyond carbon” factors: social and environmental safeguards, benefit-sharing with local communities, counterparty risk, and how well the project’s story supports their sustainability reporting. Clear, well-documented answers to these questions speed the sale.

Vintage year matters too. Credits from older vintages sell at significant discounts because a stale vintage suggests the developer could not find a buyer earlier, which raises quality concerns. Selling promptly after issuance generally gets the best price.

The Purchase Agreement and Transfer

The sale itself runs through an Emission Reductions Purchase Agreement, a binding contract that sets volume, price per credit, delivery schedule, and payment terms.6Forest Carbon Partnership Facility. ERPA General Conditions These agreements include underperformance clauses, for example if a wildfire destroys part of a contracted forest before delivery. Every commercial term is negotiable, so have legal counsel review the contract before signing.

Once the agreement is executed and payment is received, you log into your registry account, enter the buyer’s account ID and the quantity, and initiate the transfer. The registry updates its ledger to reflect the new ownership of those specific serial numbers and generates a transfer confirmation that serves as final proof of the transaction.7Verra. If the buyer is the end user of the offset, they typically retire the credits right away. Retired credits move to an account where they can never be traded again, and registries publicly list retirements so the environmental benefit is only claimed once.

Rules That Apply to You as a Seller

FTC Green Guides

If you market carbon offsets in the United States, the Federal Trade Commission’s Green Guides govern what you can claim. All environmental marketing claims must be truthful, not misleading, and backed by competent and reliable scientific evidence.8eCFR.   • Use reliable scientific and accounting methods to quantify reductions, and do not sell the same reduction more than once.
  • Do not imply that an offset represents reductions that have already occurred if they have not. If the reduction will not happen for two years or more, disclose that.
  • Do not claim credit for reductions that were required by law. Only reductions beyond what regulations mandate can be sold as offsets.

Derivatives and Buyer Disclosures

Spot sales of carbon credits are not securities transactions, but if you sell through futures or options rather than spot, those trades fall under the Commodity Futures Trading Commission’s general commodity derivatives rules. The CFTC withdrew its carbon-specific guidance in September 2025, noting that existing commodity regulations already cover the trades.9CFTC. 2025-17793

SEC climate-disclosure rules adopted in 2024 fall on publicly traded buyers, not on sellers, but they may prompt corporate buyers to request detailed project documentation when material offsets are involved.10SEC.gov. How the Proceeds Are Taxed

The IRS has not issued comprehensive guidance on carbon credit sales, so sellers are in a gray area. In Private Letter Ruling 200825009, the IRS concluded that carbon emission allowances are intangible property used in a trade or business. If your credits qualify as a capital asset under 26 U.S.C. § 1221 (generally, property that is not inventory or held for sale to customers in the ordinary course of business), the gain may qualify for lower capital gains tax rates.11Office of the Law Revision Counsel. 26 U.S. Code 1221 – Capital Asset Defined Otherwise, the proceeds are ordinary income.

Whether your credits are capital assets depends on the facts. A landowner who generates credits from a conservation project and sells occasionally has a stronger capital-gains argument than a developer who creates and sells credits as a primary business. Given the uncertainty, work with a tax professional experienced in environmental asset transactions.

When a broker or exchange facilitates the sale, they may report the proceeds on Form 1099-B, which the IRS requires for commodity transactions.12Internal Revenue Service. These may be deductible against your carbon credit income regardless of how the gains are ultimately classified.
